Assalamu Alaykum. I am looking at a franchise concept and would like Mufti Saheb to advise us. The franchise company has agreed for us to devise the shariah compliant version of their franchise concept. JazakAllah Khair.

A franchise (or franchising) is a method of distributing products or services involving a franchisor, who establishes the brand’s trademark or trade name and a business system, and a franchisee, who pays a royalty and often an initial fee for the right to do business under the franchisor's name and system. Technically, the contract binding the two parties is the “franchise,” but that term more commonly refers to the actual business that the franchisee operates. The practice of creating and distributing the brand and franchise system is most often referred to as franchising.

Essentially the franchisor as the brand/trademark/business owner sells the usufruct rights of his/her brand/trademark/business rights to the franchisee (client/buyer) in exchange of fixed identified fees known as royalty fees/once off franchise service fees.

In principle, the juridical ruling on Franchising will fall under the purview of Ijarah and hence all the rules and laws of Ijarah will be applicable. There are a number of specific clauses which need to be reviewed for shariah compliance in the strict sense in ensuring complete shariah compliance of the franchise concept.

We understand that franchise owners charge a fixed upfront fee to purchase the franchise brand rights and ongoing royalty or support fees. We accept the concept of royalty fees that are fixed in exchange of usufruct rights for trademarks and brands as we accept the monetary value of intellectual property (IP).
